General Terms and Conditions

####SECTION 1: TERMS & CONDITIONS OF MEMBERSHIP AGREEMENT

NOTE: PLEASE READ THESE TERMS AND CONDITIONS CAREFULLY.

By clicking on “ACCEPT & CONTINUE”, you acknowledge that you have read and understood all the terms and conditions of this Membership Agreement and agree to be bound by the terms and conditions of the Membership Agreement.

#####1. USE of thebridge SPACE

1.1 Use

1.1.1 ASB FLEX permits the Member to access and use thebridge Space for the Term in consideration of the Membership Fee reserved by and other covenants on the part of the Member under this Membership Agreement.

1.2 Permitted Use

1.2.1 The Member shall use thebridge Space only for the Permitted Use.

1.3 Rights

1.3.1 The right granted to the Member to access and use the Common Areas and/or thebridge Space is non-exclusive.

1.3.2 The rights to access and use thebridge Space and/or the Common Areas set out in Clause 1.3.1 may also be used by the Head Lessor, ASB FLEX and any persons authorised by the Head Lessor or ASB FLEX.

1.4 Exceptions

1.4.1 The right to access and use of thebridge Space and/or the Common Areas granted to the Member is subject but not limited to the right to carry out such power shut down in the Building as may be required by the Head Lessor, ASB FLEX or relevant Authorities. ASB FLEX shall not be liable for any compensation whatsoever and shall not be required to provide any emergency power or form of back up supply of electricity to the Member.

#####2. CONDITION OF thebridge SPACE

2.1 The Member accepts and agrees to take and accept thebridge Space on an “as is, where is” and not to object to the state and condition of thebridge Space existing as at the Commencement Date.

2.2 The Member shall not load any part of the floors of thebridge Space with a weight more than the floor loading limit weight set out below, or such other weight as may be set by ASB FLEX:

#####3. MEMBER'S OBLIGATIONS

The Member covenants with ASB FLEX that:

3.1 Membership Fee and Other Payments

3.1.1 The Member shall pay to ASB FLEX the Membership Fee monthly in advance and without deduction, set-off or counterclaim, on each Payment Date of the Term, in the mode prescribed by ASB FLEX as set out below. The monthly Membership Fee for any period less than one (1) month shall be pro-rated based on the actual number of days in that month. The first payment of the Membership Fee shall be prior to the Commencement Date.

ASB FLEX’s Prescribed Mode of Payment: (a) Cheque

Cheque should be crossed and made payable to “ASB Flex Pte. Ltd. ”

(b) Credit Card

The Member may make payment by Visa/MasterCard Credit Card and payments will be processed by ASB FLEX’s designee, via 3rd party payment gateway STRIPE at “_______________________”.

(c) Telegraphic Transfer to:

(i) Bank Account Holder Name: ASB Flex Pte. Ltd. (ii) Name of Bank: Citibank, Singapore (iii) Bank Code: 7214 (iv) Account No: 0-863707-005 (v) SWIFT Code: CITISGSG

3.1.2 In addition to the License Fee, the Member shall pay the Additional Charges (if any) and other sums payable under this Membership Agreement in the mode as prescribed by ASB FLEX in Clause 3.1.1, in advance without demand on the first day of each month of the Term.

3.1.3 The Member understands that payment of the Membership Fee, Additional Charges (if applicable) and any other sums payable under this Membership Agreement will be processed by ASB FLEX’s designee, via third party payment gateways such as Stripe and/or such third party payment gateways (“Payment Gateway Service Provider”) as ASB FLEX may use from time to time. The Payment Gateway Service Provider may require the Member to register a valid credit or debit card which belongs to the Member in accordance with the instructions provided by the Payment Gateway Service Provider. If the credit or debit card is invalid, unauthorised, or suspended, the Member’s access to and usage of thebridge Space may be suspended or terminated immediately without notice. The Member shall not have any claim against ASB FLEX for any damages, compensation, costs, expenses, losses or otherwise in respect of such suspension or termination.

3.1.4 The Payment Gateway Service Provider will have its own terms and conditions applicable to the Payment Gateway Service Provider. The Member agrees that ASB FLEX accepts no responsibility whatsoever to the Member or other persons in connection with the use of the Payment Gateway Service Provider’s services by the Member.

3.1.5 The Membership Fee, Additional Charges (if any) and all sums payable under this Membership Agreement are to be paid in full, exclusive of any bank charges, Taxes and/or administrative charges which shall be borne by the Member. All payments made by the Member shall be non-refundable (except for the Security Deposit, if applicable).

3.1.6 For every successful payment of the Membership Fee, Additional Charges (if any) and other sums payable under this Membership Agreement, made by the Member, ASB FLEX shall send to the Member confirmation via email. The Member is responsible for printing and keeping the confirmation.

3.1.7 For the avoidance of doubt, ASB FLEX may impose charges and terms and conditions on the use of any part of the Common Areas or any part of thebridge Space in connection with the Member’s use of thebridge Space. ASB FLEX may require the Member to sign a separate agreement or such other documents for such space.

3.2 Interest

3.2.1 If the Member fails to pay the Membership Fee, Additional Charges (if applicable) or any other sums payable under this Membership Agreement to ASB FLEX on its due date (whether or not formally demanded), the Member shall pay (a) interest on the sum owing from the date the sum is due (or where ASB FLEX has incurred costs for any works or measures on the Member’s behalf, from the date of such incurrence) until the date that the sum is paid or (b) the minimum sum of S$200.00 being the agreed liquidated damages payable to ASB FLEX.

3.3 Security Deposit

3.3.1 If required by ASB FLEX, the Member shall pay to and maintain with ASB FLEX the Security Deposit as security for the Member’s compliance with the Covenants and to secure and indemnify ASB FLEX against any default by the Member under this Membership Agreement or loss or damage caused by the Member or any of the Member’s Permitted Occupiers, agents, independent contractors, visitors, invitees, and others under its control and any claim by ASB FLEX against the Member or any of the Member’s Permitted Occupiers, agents, independent contractors, visitors, invitees and others under its control at any time in relation to any matter arising out of or in connection with thebridge Space.

3.3.2 If the Member defaults under this Membership Agreement, ASB FLEX may apply the Security Deposit in any manner as specified by ASB FLEX to make good any loss or damage suffered by ASB FLEX to the satisfaction of ASB FLEX and/or reimburse ASB FLEX for any costs and expenses incurred in making good the loss or damage suffered by ASB FLEX.

3.3.3 If ASB FLEX has applied the Security Deposit under Clause 3.3.2, the Member shall pay to ASB FLEX via the prescribed mode of payment by ASB FLEX, an amount equal to the amount applied within seven (7) days of demand.

3.3.4 ASB FLEX shall repay the Security Deposit, without interest and after proper deductions, to the Member after the expiry or earlier determination of the Term provided the Member has paid all sums owing to ASB FLEX and that the Member has complied with this Membership Agreement to the satisfaction of ASB FLEX. The refund of the Security Deposit shall be made via wire transfer/cheque.

3.3.5 The Member shall not set-off any part of the Security Deposit against any Membership Fee or other sums owing to ASB FLEX.

3.4 Insurance

3.4.1 The Member is solely responsible for the safekeeping of the Member’s property (including personal belongings and/or property in thebridge Space). The Member may at the Member’s own discretion obtain such appropriate insurance against all risks of theft, physical loss or damage (including risks of fire) in respect of the Member’s property (including personal belongings and/or property) in thebridge Space.

3.5 Not to Void Insurance

3.5.1 The Member shall not do anything which may make ASB FLEX’s insurance policies invalid or capable of cancellation or increase the premium payable on such policies. If the Member fails to comply with this Clause 3.5.1, without prejudice to any other rights or remedies of ASB FLEX, the Member shall make good any damage suffered by ASB FLEX including the increased premium and ASB FLEX's costs and expenses for the renewal of such policy.

3.6 Maintenance

3.6.1 The Member shall keep thebridge Space and/or the Common Areas, including all furniture, fixtures and fittings (whether belonging to ASB FLEX or the Head Lessor) in good condition (fair wear and tear excepted) and immediately make good, to the satisfaction of ASB FLEX, any damage caused by the Member to the Common Areas and/or thebridge Space (including the Head Lessor and/or ASB FLEX’s furniture, fixtures and fittings in it) or any other part of the Building or the Park.

3.7 ASB FLEX’s Right of Inspection and Repair

3.7.1 The Member shall allow ASB FLEX’s employees, independent contractors, and others under its control to inspect or interrupt the use of thebridge Space to investigate the source of any interference or disturbance to other Members and occupants or carry out any works relating to the Conducting Media or to repair or replace any furniture, fixtures or fittings in thebridge Space.

3.7.2 If ASB FLEX finds that there is any default by the Member under this Membership Agreement, ASB FLEX may do the necessary works at the Member's cost and expense. If required by ASB FLEX, all costs and expenses incurred shall be recoverable from the Member immediately on ASB FLEX’s demand and ASB FLEX shall not be liable to the Member or any third party for any loss, damage or inconvenience caused by such necessary works.

3.8 Vacating the thebridge Space

3.8.1 At the expiry or earlier determination of the Term, the Member shall vacate and return thebridge Space together with all the keys and/or access cards (including all mailbox keys, if any) to ASB FLEX in the Original Condition (fair, wear and tear excepted).

3.8.2 If the Member fails to comply with Clause 3.8.1, ASB FLEX may carry out the necessary works and the Member shall pay to ASB FLEX immediately on demand all the costs and expenses incurred by ASB FLEX together with Interest and together with a sum equal to double the amount of Membership Fee calculated based on the reasonable period taken by ASB FLEX to complete the necessary works. A statement from ASB FLEX of the amounts payable to ASB FLEX under this Clause 3.8.2 is conclusive and binding on the Member (save for manifest error).

3.9 Assignment and Subletting

3.9.1 This Membership Agreement is personal to the Member and the Member shall not assign or transfer the rights under this Membership Agreement.

3.9.2 The Member may share occupation with the Member’s Permitted Occupiers during the Term provided that:

(a) the Member shall remain principally liable to ASB FLEX in respect of the Member’s obligations under this Membership Agreement and shall ensure that the Member’s Permitted Occupiers do not create a breach by the Member of any of the Member’s obligations under this Membership Agreement;

(b) in the event this Membership Agreement is terminated by expiry or otherwise, the Member’s Permitted Occupiers’ occupation shall automatically ends and the Member shall ensure that all the Member’s Permitted Occupiers vacate thebridge Space in accordance with the provisions of the Membership Agreement; and

(c) the Member shall procure and ensure that each of the Member’s Permitted Occupiers logs on to thebridge website (https://community.thebridge-asb.com) and completes and accepts the terms and conditions therein before allowing the Member’s Permitted Occupiers to occupy and use thebridge Space and/or any part of the Common Areas. In the event of breach by any of the Member’s Permitted Occupiers, Clause 3.9.2 (a) shall be applicable.

3.10 No Rights Granted

3.10.1 The Member acknowledges and agrees that the non-exclusive right granted to the Member under this Membership Agreement to access and use thebridge Space and/or the Common Areas does not amount to a grant of any license, lease, title or any other rights with regard to thebridge Space and/or the Common Areas.

3.11 Compliance with the Law

3.11.1 The Member shall comply with all applicable Law, including the relevant anti-money laundering, anti-financing of terrorism regulations, data privacy and anti-corruption regulations during the Term.

3.11.2 The Member shall comply with the Law and all requirements of the Authorities relating to the use of thebridge Space and the observance or performance of the Member’s obligations under this Membership Agreement.

3.12 Head Lease

3.12.1 The Member shall comply with the Head Lease so long as the provisions relate to thebridge Space, the Building and (where applicable) the Park.

3.13 ASB FLEX’s House Rules and Terms & Conditions For WIFI Access

3.13.1 The Member shall comply with ASB FLEX’s House Rules and the Terms & Conditions For WIFI Access and shall ensure that the Member’s Permitted Occupiers, agents, independent contractors, visitors, invitees and others under its control comply with ASB FLEX’s House Rules and the Terms & Conditions For WIFI Access. ASB FLEX may add or vary ASB FLEX’s House Rules and/or the Terms & Conditions For WIFI Access at any time.

3.14 Confidentiality of Information

3.14.1 The Member shall not disclose to any third party any information under this Membership Agreement and shall preserve the secrecy of any information disclosed by ASB FLEX, unless such disclosure is required by Law or with the prior approval of ASB FLEX. The confidentiality restrictions in this Clause 3.14.1 shall continue to apply after the termination of this Membership Agreement.

3.15 Indemnity by Member

3.15.1 The Member undertakes to indemnify ASB FLEX fully against all claims, demands, actions, proceedings, judgements, damages, losses, costs and expenses of any nature which ASB FLEX may suffer or incur arising from or in connection with any act, omission or default by the Member in the observance or performance of the Covenants.

3.16 Termination and Renewal

3.16.1 ASB FLEX may at any time terminate this Membership Agreement without cause upon giving seven (7) days’ notice in writing to the Member.

3.16.2 Upon termination of this Membership Agreement, the Member shall, if applicable, pay all Membership Fee and other sums until the day of such termination. The Member shall not have any claim against ASB FLEX for any damages, compensation, costs, expenses, losses or otherwise in respect of such termination of this Membership Agreement.

3.17 Relocation

3.17.1 ASB FLEX reserves the rights to relocate the Member to another space within thebridge Space as deemed appropriate by ASB FLEX. The Member shall not have any claim against ASB FLEX for any damages, compensation, costs, expenses, losses or otherwise in respect of such relocation.

#####4. ASB FLEX NOT LIABLE

4.1 No Claim by Member

4.1.1 Notwithstanding anything in this Membership Agreement, ASB FLEX is not liable to the Member and the Member shall not claim against ASB FLEX for any death, injury, loss and/or damage which the Member may suffer in respect of any of the following (whether caused by negligence or otherwise):

(a) any interruption in any of the provision of services in respect of thebridge Space due to necessary repair, maintenance, damage or destruction of any installations or equipment or mechanical, electrical, electronic, microprocessor, software or other defect, malfunction or breakdown;

(b) any act, omission, negligence or misconduct of (i) any employee of ASB FLEX or any person acting under such employee in respect of thebridge Space or the Building; (ii) ASB FLEX’s agents, independent contractors, Permitted Occupiers, visitors, invitees, licensees and others under its control performing any duty relating to the provision of services in respect of thebridge Space; or (iii) any of the Member’s contractor or consultant nominated or approved by ASB FLEX under this Membership Agreement;

(c) leakage or defect in the piping, wiring and sprinkler system or defect in the structure of thebridge Space or the Building;

(d) the use of the car parks in the Building;

(e) the non-compliance of ASB FLEX’s House Rules by the other tenants, employees, agents, independent contractors, Permitted Occupiers, visitors, invitees, licensees and others in thebridge Space;

(f) any failure or delay by ASB FLEX to adequately take or implement any measures to prevent any outbreak or spread whatsoever of any Infectious Disease in thebridge Space;

(g) any terrorist act regardless of any other cause or event contributing to the loss (including but not limited to any action taken to control, prevent, suppress or howsoever taken in relation to any terrorist act);

(h) any Force Majeure;

(i) any failure or inability or defect in the supply or character of electricity, water (including chilled water) or where applicable, gas, supplied to thebridge Space by any service provider of electricity, water (including chilled water) or where applicable, gas, to the Building; or

(j) for accidents, injuries, loss or damage to property or persons in thebridge Space, Building or Park.

#####5. OTHER TERMS

5.1 Costs and Expenses

5.1.1 The Member shall pay ASB FLEX (on a full indemnity basis) immediately on demand, all ASB FLEX's costs and expenses (including but not limited to legal fees, administrative charges and stamp duty) incurred as a result of any default by the Member under this Membership Agreement.

5.2 Remedial Measures

5.2.1 If the Member fails to comply with this Membership Agreement, ASB FLEX may, without prejudice to any other rights or remedies of ASB FLEX, carry out such remedial measures as ASB FLEX may specify. All costs and expenses incurred by ASB FLEX together with Interest shall be paid by the Member. ASB FLEX shall not be liable to the Member for any loss, damage or inconvenience caused by ASB FLEX in carrying out the remedial measures, provided that it shall not be construed to affect any other rights and remedies of ASB FLEX.

5.3 Refusal of Entry

5.3.1 The Member shall be in default of this Membership Agreement if (a) the Member fails to pay the Membership Fee, Additional Charges (if any) or any other sum payable under this Membership Agreement within seven (7) days after the due date; (b) or the Member fails to comply with this Membership Agreement (other than under this Clause 5.3.1(a)) and (if the default is capable of remedy) fails to remedy the default within seven (7) days (or such other period specified by ASB FLEX) of ASB FLEX's notice or (c) the Member is insolvent or likely to become insolvent.

5.3.2 In any of the above events, ASB FLEX may at ASB FLEX’s absolute discretion (i) refuse the Member entry into thebridge Space until such outstanding Membership Fee, Additional Charges (if any) or any other sum payable under this Membership Agreement is received or the default is remedied to the satisfaction of the Member or (ii) terminate this Membership Agreement immediately. Upon the termination by ASB FLEX, the Term and this Membership Agreement shall end and all monies paid by the Member shall be forfeited to ASB FLEX without affecting any other rights and remedies of ASB FLEX and ASB FLEX shall not be responsible for any loss or damage arising from such termination and the Member shall have no claim against ASB FLEX for any damages, losses or whatsoever.

5.4 Removal of property

5.4.1 If any of the Member’s property remains at thebridge Space when this Membership Agreement ends for whatever reasons, ASB FLEX may, and shall be deemed to be authorized, to dispose of the Member’s property in whatever way ASB FLEX thinks is appropriate.

5.4.2 All costs, expenses incurred by ASB FLEX for such disposal shall be paid by the Member. ASB FLEX may use the sale proceeds from the disposal of the Member’s property to pay ASB FLEX's costs, expenses, Interest and any other monies owing by the Member to ASB FLEX under this Membership Agreement. If there are any remaining sale proceeds, ASB FLEX shall return the balance to the Member.

5.4.3 The Member shall indemnify ASB FLEX against any liability incurred by ASB FLEX to any third party whose property is dealt with or disposed of by ASB FLEX in the mistaken belief that such property belonged to the Member and ASB FLEX shall not be responsible for any loss or damage incurred in the course of such removal.

5.5 ASB FLEX may Assign

5.5.1 ASB FLEX may transfer this Membership Agreement by either an assignment or novation. Upon the transfer, the Member:

(a) is treated to have agreed to the transfer;

(b) shall release ASB FLEX from all its obligations under this Membership Agreement; and

(c) if required by ASB FLEX, shall be a party to and sign the assignment or novation agreement for this Membership Agreement with ASB FLEX and its transferee. The assignment or novation agreement shall be prepared by ASB FLEX or its transferee at its cost and expense.

5.5.2 If the Building and/or thebridge Space is sold to the trustee of Ascendas Real Estate Investment Trust, the Member agrees that the following clause (or a variation of the same) be included in this Membership Agreement:

“Limitation of Liability

Notwithstanding any contrary provision in this Membership Agreement, it is hereby agreed and acknowledged that HSBC Institutional Trust Services (Singapore) Limited (“HSBCITS”) is entering into this Membership Agreement only in its capacity as trustee of Ascendas Real Estate Investment Trust (the “REIT”) and not in its personal capacity. As such, notwithstanding any provisions in this Membership Agreement, HSBCITS has assumed all obligations under this Membership Agreement in its capacity as trustee of the REIT and not in its personal capacity and any liability of or indemnity given or to be given by ASB FLEX and any power and right conferred on any receiver, attorney, agent and/or delegate by ASB FLEX shall be limited to the assets of the REIT over which HSBCITS, in its capacity as trustee of the REIT, has recourse and shall not extend to any personal assets of HSBCITS or any assets held by HSBCITS in its capacity as trustee of any other trust. This Clause shall survive the termination or rescission of this Lease. The provisions of this Clause shall apply, mutatis mutandis, to any notice, certificate or other document which ASB FLEX issues under or pursuant to this Membership Agreement, as if expressly set out in such notice, certificate or document.”

5.6 Government Acquisition and Head Lease Termination

5.6.1 If (a) the Building or any part of it is acquired by any Authorities or if any notice, order or gazette(s) notification is issued for the acquisition of the Building or any part thereof by any Authorities; or (b) the Head Lease is terminated for any reasons whatsoever, ASB FLEX may terminate this Membership Agreement, without compensation, by giving the Member notice. This Membership Agreement shall end upon the Member’s receipt of ASB FLEX's notice without affecting any rights or remedies of ASB FLEX for any previous default by the Member under this Membership Agreement.

5.7 Unenforceability and Severance

5.7.1 The illegality, invalidity or unenforceability of any provision in this Membership Agreement under the Law shall not affect the legality, validity or enforceability of any of the other provisions in this Membership Agreement.

5.8 Governing Law and Submission to Jurisdiction

5.8.1 This Membership Agreement is governed by Singapore Law and the parties agree to submit to the jurisdiction of the courts of the Republic of Singapore.

5.8.2 The Member shall comply with all applicable Law, including the relevant anti-money laundering, anti-financing of terrorism regulations and anti-corruption regulations during the Term.

5.9 Contracts (Rights of Third Parties) Act Cap 53B

5.9.1 A person who is not a party to this Membership Agreement has no right under the Contracts (Rights of Third Parties) Act (Chapter 53B) to enforce or enjoy the benefit of any term of this Membership Agreement.

5.10 Personal Data Protection Act

5.10.1 The Member represents undertakes and warrant that:

(a) for any personal data of individuals that the Member will be or may be disclosing or discloses to ASB FLEX, the Member would have prior to disclosing such personal data to ASB FLEX obtained consent from the individuals whose personal data are being disclosed, to (i) permit the Member to disclose the individuals’ personal data to ASB FLEX for the provision of all services related to this Membership Agreement and/or (ii) permit ASB FLEX to collect, use, disclose and/or process the individuals’ personal data for the provision of all services related to this Membership Agreement; and/or

(b) the Member shall at the request of ASB FLEX, assist ASB FLEX to comply with the Personal Data Protection Act 2012 (“PDPA”).

5.10.2 The Member shall ensure that it complies with PDPA, and the Member shall not do anything and not omit to do anything that will cause ASB FLEX and/or its related corporations to be in breach of any provision or requirement of the PDPA including regulations issued under the PDPA.

#####6. DEFINITIONS

In this Membership Agreement, the following terms shall have the meanings as set out below:

6.1 “ASB FLEX” means ASB Flex Pte. Ltd. (UEN NO. 201635138C), a company incorporated in Singapore and having its registered office at 1 Fusionopolis Place #10-10 Galaxis Singapore 138522.

6.2 “ASB FLEX’s House Rules” means the further standard terms and conditions as set out in SECTION 2 which may be varied or amended by ASB FLEX from time to time.

6.3 “Additional Charges” means such additional amount such as ASB FLEX may require the Member to pay for additional services.

6.4 “Authorities” means all relevant governmental and statutory bodies and authorities.

6.5 “Building” means the land and the building(s) of which thebridge Space forms part of and known as 2 Science Park Drive ASCENT Tower A, Singapore Science Park 1, Singapore 118222.

6.6 “Commencement Date” means the commencement date of the Term of your membership.

6.7 “Common Areas” means (a) the designated areas within thebridge Space by ASB FLEX and/or the designated parts of the Building properly authorized by the Head Lessor and/or ASB FLEX, for common use by ASB FLEX, the Member, other licensees and occupiers of the Building.

6.8 “Conducting Media” means any drains, sewers, conduits, flues, risers, gutters, gullies, channels, ducts, shafts, watercourses, pipes, cables, wires and mains now or in the future in, upon or under the Building.

6.9 “Covenants” means these standard terms, covenants and conditions.

6.10 “Force Majeure” means any circumstances beyond the control of ASB FLEX which directly or indirectly prevents or delays ASB FLEX's performance of this Membership Agreement including but not limited to an act of God, flooding, haze, national emergency, war, insurgency, labour disputes, civil commotion or riots.

6.11 “Head Lessor” means Ascendas Land (Singapore) Pte Ltd.

6.12 “Head Lease” means the lease dated 09 March 2017 entered into between the Head Lessor and ASB FLEX under which ASB FLEX holds its interest in thebridge Space (part) and includes all document(s) supplemental to it.

6.13 “Infectious Disease” means infectious diseases defined in the Infectious Diseases Act (Cap. 137).

6.14 “Interest” means interest at the rate of ten percent (10%) per year calculated on a daily basis and based on the actual number of days in the year (both before and after judgment) or other higher rate as may be specified by ASB FLEX from time to time.

6.15 “Law” includes any present or future requirement of statute from time to time in force (including but not limited to subsidiary legislation, codes and guidelines), common law and equity.

6.16 “Member” means any person who has accepted and agreed to be bound by the terms and conditions of the Membership Agreement.

6.17 “Member’s Permitted Occupiers” means any person authorized by the Member for the proper use of thebridge Space and who have accepted and agreed to be bound by the Membership Agreement and whose occupation of thebridge Space has been approved by ASB FLEX in writing.

6.18 “Membership Agreement” means this agreement for the membership, access and the use of thebridge Space between ASB FLEX and the Member comprising these Covenants, any attachments thereto (including ASB FLEX’s House Rules) and all document(s) supplemental to it as ASB FLEX may impose from time to time.

6.19 “Membership Fee” means the relevant membership fee based on the type of membership set out in Our Website and selected by the Member.

6.20 “month” means calendar month.

6.21 “Original Condition” means the original state and condition of thebridge Space (including ASB FLEX’s furniture, fixtures and fittings) on the Commencement Date.

6.22 “Our Website” means https://thebridge-asb.com.

6.23 “Park” means a science or business park where the Building is located.

6.24 “Payment Date” means the first day of a month or such other day as may be specified by ASB FLEX from time to time.

6.25 “Permitted Occupiers” means any person allowed to be on thebridge Space by ASB FLEX and/or the Head Lessor.

6.26 “Permitted Use” means the authorized use of thebridge Space as office space only.

6.27 “Security Deposit” means the security deposit amount (if any) which ASB FLEX may require the Member to pay for the Term.

6.28 “Taxes” means any goods and services tax, imposition, duty and levy which may be imposed at any time by the Authorities.

6.29 “Term” means the duration of the membership based on the type of membership as set out in Our Website and selected by the Member.

6.30 “Terms & Conditions For WIFI Access” means the further terms and conditions as set out in SECTION 3 for use of and access to the WIFI service of ASB FLEX at thebridge Space which may be varied or amended by ASB FLEX from time to time.

6.31 “thebridge Space” means any of the area(s) in the Building where ASB FLEX is the lessee, licensee or managing agent, including all the furniture, fixtures and fittings therein.

6.32 “Utilities” means electricity, water, sewerage, and telecommunications and where applicable, gas, air conditioning and chilled water.
